Scaling a Development Hub in 45 Days

The Challenge: A Berlin-based SaaS company needed to establish a 15-person software development team in Cape Town to capitalize on the tech talent pool, but refused the 8-month delay of establishing a local subsidiary.

Our Solution: Deployed our EOR framework. We onboarded all 15 local developers within 12 days, handling complete CCMA compliance, medical aid structuring, and PAYE. Concurrently, we processed two Intra-Company Transfer visas for their German engineering leads.

Corporate Visa & Forex Clearance

The Challenge: A Canadian mining conglomerate won a major tender in the Northern Cape but faced severe delays importing specialized equipment and clearing the R50M+ capital required to initiate operations.

Our Solution: Executed a dual-strategy. Our immigration team secured a Corporate Visa blanket approval for 40 foreign technicians. Simultaneously, our partners at GDA Financial Services navigated the Reserve Bank to clear the capital influx legally and at institutional FX rates.

Executive Briefing & Insights

Common regulatory inquiries regarding South African market entry.

Should we establish a Branch Office or a Local Subsidiary (Pty Ltd)?
This depends entirely on your risk appetite and tax strategy. A Subsidiary (Pty Ltd) acts as a separate legal entity, ring-fencing the parent company from local liability, but faces standard corporate tax rates and dividend withholding taxes. A Branch Office (External Company) is an extension of the parent company; it is easier to repatriate profits without dividend taxes, but the parent company assumes full legal liability for local operations. We analyze your specific case during our Feasibility Assessment.
How strictly does South Africa enforce Exchange Controls on foreign capital?
South Africa has stringent Exchange Control regulations governed by the South African Reserve Bank (SARB). Any capital brought into the country must be properly declared and registered to ensure it (and any subsequent profits or dividends) can be legally repatriated later. Our financial division ensures the correct "Non-Resident Endorsement" is placed on your shares from day one.
Are there limits to how long we can use an Employer of Record (EOR)?
Legally, there is no strict time limit. Many corporations use our EOR indefinitely for small satellite teams (1-20 employees). However, if your local headcount scales significantly or you begin generating substantial local revenue directly, establishing a formal entity becomes more tax-efficient. We often deploy EOR as a 12-24 month "bridge" while the formal entity registration and corporate banking structures are finalized.
